It sounds like the two companies are becoming more like Saban Brands and the Power Rangers property, where the creative team largely stays away from interacting directly with the fandom, And it seems like, much the Samurai/Super Samurai seasons from Saban Brands, there is a lot of criticism out there for Ultimate Spider-man.
I'm guessing it's for 26 episodes? Anyway I think this pretty much puts the rumours of Dini being unhappy to rest since he decided to return for a second season.

Things are really going to get bad once the movie comes out and people check out USM to see something completely different that is horrible. I know the movie is made by Sony, but you'd think they'd try to build off the momentum with something that is somewhat similar.

They didn't care about that back when Iron Man came out and was a huge hit and they followed up with Armored Adventures. And in that scenario Marvel had creative control over both properties.

Not really. Look at The Batman which was made to capitalize on Batman Begins and started not long after. Made Joker Rastafarian.

And was forbidden to use Scarecrow and Ra's Al Ghul because it might cause confusion with their versions in Batman Begins. The show had finished a few months before The Dark Knight came out so it was pretty impossible to do anything about any "brand confusion" with the Joker at that point.

Power Rangers Samurai is averaging millions of viewers on Nickelodeon. Doesn't seem like their strategies are working out too bad for them.

if ratings == quality, then USM is the pits.

Fortunately, ratings have little indication of quality - "Jersey Shore" is proof.

Which if course, tells us nothing but spin. It doesn't tell us if those figures are good relative to the other shows on the channel, or really anything. Anyone who writes for a living (which I do, among other more geekly things) will recognize that immediately as an evasion rather than a statistic. Honestly, for someone who decries sloppiness in others' writing, trotting that out is almost insulting.
